1.3 "Services" refers to the website development services provided by the Contractor.
1.4 "Agreement" refers to the contract formed between the Client and the Contractor when the Client accepts the Contractor's proposal or quotation.
2. Services
2.1 Scope of Work: The Contractor agrees to provide the Services as described in the accepted proposal or quotation.
2.2 Changes in Scope: Any changes to the scope of work must be documented and agreed upon in writing by both parties. Additional charges may apply.
3. Payment Terms
3.1 Fees: The Client agrees to pay the Contractor the fees specified in the accepted proposal or quotation.
3.2 Payment Schedule: Payments are due according to the schedule outlined in the proposal or quotation. Late payments may incur interest charges.
3.3 Expenses: The Client will reimburse the Contractor for any pre-approved expenses incurred during the performance of the Services.
4. Confidentiality
4.1 Confidential Information: Both parties agree to keep confidential any information that is identified as confidential or that ought reasonably to be considered confidential. 4.2 Non-Disclosure: Neither party will disclose any confidential information to any third party without the prior written consent of the other party.
5. Intellectual Property
5.1 Ownership: The Client retains ownership of any materials, content, or data provided to the Contractor. The Contractor retains ownership of any pre-existing intellectual property used in the performance of the Services.
5.2 Licensing: Upon full payment, the Contractor grants the Client a non-exclusive, non-transferable license to use any deliverables created as part of the Services.
6. Warranties and Representations
6.1 Performance: The Contractor warrants that the Services will be performed in a professional and workmanlike manner.
6.2 Compliance: The Contractor represents that the Services will comply with all applicable laws and regulations.
7. Limitation of Liability
7.1 No Liability for Indirect Damages: The Contractor shall not be liable for any indirect,
incidental, special, or consequential damages arising out of or in connection with the Services. 7.2 Maximum Liability: The Contractor's total liability under this Agreement shall not exceed the total fees paid by the Client for the Services.
8. Termination
8.1 Termination by Client: The Client may terminate this Agreement at any time by providing written notice to the Contractor. The Client will be responsible for payment for any Services rendered up to the date of termination.
8.2 Termination by Contractor: The Contractor may terminate this Agreement if the Client fails to make timely payments or breaches any other material term of this Agreement.
9. Dispute Resolution
9.1 Mediation: In the event of any dispute arising out of or in connection with this Agreement, the parties agree to first attempt to resolve the dispute through mediation.
9.2 Arbitration: If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
10. Miscellaneous
10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State in which Honesty International Holdings, LLC is located, without regard to its conflict of law principles.
10.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings and agreements, whether written or oral.
10.3 Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
10.4 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Refund policy

We understand that there may be instances where our clients are not completely satisfied with our services. This Refund Policy outlines the conditions under which refunds may be provided.
1. General Conditions
1.1 Eligibility: Refunds are only available to Clients who have engaged Honesty International Holdings, LLC; DBA Mikhail Arden Consulting for website development services.
1.2 Request: To request a refund, the Client must provide a written request outlining the reasons for dissatisfaction within 30 days of project completion or milestone delivery.
2. Refund Criteria
2.1 Non-Delivery of Services: If the Contractor fails to deliver the Services as agreed upon in the accepted proposal or quotation, the Client may be eligible for a full refund.
2.2 Dissatisfaction with Services: If the Client is not satisfied with the Services provided, they must first attempt to resolve the issue with the Contractor. If the issue cannot be resolved to the Client's satisfaction, a partial refund may be issued at the Contractor's discretion.
2.3 Cancellation by Client: If the Client cancels the project after work has commenced but before completion, the Client may be eligible for a partial refund. The amount of the refund will be determined based on the work completed and expenses incurred up to the date of cancellation.
2.4 Cancellation by Contractor: If the Contractor terminates the Agreement due to the Client's breach of terms or non-payment, no refund will be issued.
3. Process for Requesting a Refund
3.1 Written Request: The Client must submit a written refund request to support@mikhailarden.com including the following details:
Client’s name and contact information
Date of the Agreement
Detailed reason for the refund request
Any supporting documentation or evidence
3.2 Review: Upon receiving the refund request, the Contractor will review the request and respond within 10 business days. 3.3 Resolution: The Contractor will work with the Client to resolve the issue. If a refund is deemed appropriate, the refund will be processed within 15 business days of the resolution decision.
4. Exceptions
4.1 Third-Party Services: The Contractor is not responsible for and will not issue refunds for third-party services or products, including but not limited to domain names, hosting services, and software licenses.
4.2 Client-Provided Content: Refunds will not be issued for delays or issues arising from content, information, or materials provided by the Client.
5. Limitation of Liability
5.1 Maximum Refund: The maximum refund amount shall not exceed the total fees paid by the Client for the Services.
